Loyalty Program - Terms and conditions

LOYALTY PROGRAM

General

The AstroPay Loyalty Program (hereinafter, the "Loyalty Program") operates under the terms and conditions as set out below unless otherwise expressly stated herein (the "Terms and Conditions"), which govern AstroPay's relationship with members of the Loyalty Program, how users qualify for the Loyalty Program, as well as its benefits and termination.

The Loyalty Program is valid for as long as Astropay maintains it, at its sole discretion.

All capitalized terms that are not defined in these Terms and Conditions shall have the meaning ascribed to them in the General Terms.

The Loyalty Program will only be active for Users located in the countries identified in Annex 1.

An Astropay account manager may contact Users in order to let them know they have qualified for the Loyalty Program. In addition, the Loyalty Program has several levels (the "Levels").

Each Loyalty Program Level will automatically start after the User complies with all the conditions described below for the respective Level, and shall have the benefits ascribed to them hereinafter.

Loyalty Levels

There are four different Loyalty Program Levels:

• Black (link to black Level user terms and conditions).
• Gold.
• Silver.
• Standard.

The User will be placed into these Levels based on the AstroPoints earned in the last 12 months. Each Level is obtained by earning AstroPoints and will be updated monthly based on the AstroPoints earned in the last 12 months.

Black Level users shall have specific terms and conditions (the "Black Level Users Terms and Conditions") in addition to these Terms and Conditions and the General Terms.

Other Levels will be governed by these Terms and Conditions and the General Terms, unless otherwise provided herein.

AstroPoints

The AstroPoints are fictional points, generated by Astropay (and only valid for Astropay awards or proposes).

The AstroPoints are automatically generated whenever an eligible action, at AstroPay's discretion, is done through the app, including, but not limited to: Deposits, Debit card payments, Signing up, email confirmation, KYC validation, PIX key registration.

AstroPoints earned by the User will have a lifetime of one year. After that, if they have not been used, they will expire.

In case the User moves from one Level to a higher one, he/she will not lose the AstroPoints he/she has obtained so far, but they will be accumulated.

The actions that generate AstroPoints may be modified at Astropay's sole discretion.

The daily generation of AstroPoints will be subject to limits based on the Users level, region and the specific event they are participating in.

Mechanics to earn AstroPoints

For every Deposit on a merchant site, the respective User will receive:

• 1 USD (one dollar) equivalent to 10 ACs (ten AstroPoints) for Standard Level (vouchers not included).
• 1 USD (one dollar) equivalent to 20 ACs (twenty AstroPoints) for Silver and Gold Levels, with a minimum of 20 USD (vouchers not included).
• 1 USD (one dollar) equivalent to 30 ACs (thirty AstroPoints) for Black Level, with a minimum of 20 USD (vouchers not included).

For each debit card payment that the User completes, the respective User will receive:

• 1 USD (one dollar) equivalent to 10 ACs (ten AstroPoints) for Standard Level.
• 1 USD (one dollar) equivalent to 20 ACs (twenty AstroPoints) for Silver and Gold Level.
• 1 USD (one dollar) equivalent to 30 ACs (thirty AstroPoints) for Black Level.

Users can also earn AstroPoints by completing challenges. The AstroPoints given by these actions will only be generated one time for that respective User solely, and conditions may vary at AstroPay's discretion.

• For Signing up all Levels will receive 100 AstroPoints (one hundred AstroPoints).
• For Email confirmation all Levels will receive 150 AstroPoints (one hundred and fifty AstroPoints).
• For KYC validation all Levels will receive 250 AstroPoints (two hundred and fifty AstroPoints).
• For Pix Key registration all users will receive 500 AstroPoints (five hundred AstroPoints).
• For physical debit card activation all users will receive 500 AstroPoints (five hundred AstroPoints).

Benefits

• Users can redeem AstroPoints for rewards, balance (cash on their wallet) or prizes, if available.
• Each Level has access to additional benefits. The benefits may vary from one Level to another.
• Each level will get a different amount of AstroPoints in their wallet.
• The amount of AstroPoints will be defined based on the multipliers and equivalences defined in Annex 2 "Multipliers and Equivalences".
• The benefits for each Level may change from time to time, including new benefits and removing or changing the old ones.

Miscellaneous

The Loyalty Program may be canceled or modified at any time at Astropay's sole discretion. Users will be responsible for regularly review any updates or changes that Astropay makes from time to time. By continuing to use AstroPay's services after such updates or changes have been implemented, the Users indicate their acceptance of the revised terms and conditions.

If the Loyalty Program was canceled and there were remaining AstroPoints in the Users wallet, a notice will be given to the User with the timeframe in which he/she needs to use them before losing them.

Each Level may have specific promotions or campaigns available for certain periods of time.

The AstroPoints will not be usable if the User has his Account blocked or suspended. AstroPay may block or suspend an Account in case of fraud suspicions or any other reason at its sole discretion.

AstroPay will never request any password or OTP code. This information is strictly confidential and the User must not share it with anyone else.

Annex 1 Active Countries

Argentina, Austria, Australia, Bangladesh, Belgium, Benin, Bolivia (Plurinational State of), Brazil, Canada, Chile, Cameroon, Colombia, Germany, Ecuador, Egypt, Spain, Finland, France, United Kingdom of Great Britain and Northern Ireland (the), Ghana, Hungary, Indonesia, India, Italy, Kenya, Latvia, Mexico, Malaysia, Nigeria, Netherlands (the), Norway, New Zealand, Peru, Poland, Portugal, Sweden, Thailand, Zambia

Annex 2 Multipliers and Equivalences

• The initial calculation method ("Initial Calculation") to perform the equivalences of all levels is: 1 USD (one dollar) spent equals 10 (ten) AstroPoints.
• The multiplot will be obtained by multiplying the Initial Calculation by different numbers depending on the Users Loyalty Level.
• Astropay Vouchers are not included for purposes of the calculation.

A - Standard Level

The calculation of the amount of AstroPoints to be earned on the Users account will be made by multiplying:

• 1x (by one) on deposits with no minimum amount (Astropay Vouchers are not included).
• 1x (by one) on each payment link that is paid.
• 1x (by one) on each Debit card payment that is made.

B - Silver Level

The calculation of the amount of AstroPoints to be earned on the Users account will be made by multiplying:

• 2x (by two) on deposits with a minimum of 20 USD (twenty dollars). (Astropay Vouchers are not included).
• 2x (by two) on each payment link that is paid.
• 2x (by two) on each debit card payment that is made.

C - Gold Level

The calculation of the amount of AstroPoints to be earned on the Users account will be made by multiplying:

• 2x (by two) on deposits with a minimum of 20 USD (Astropay Vouchers are not included).
• 2x (by two) on each payment link that is paid.
• 2x (by two) on each debit card payment that is made.

D - Black Level

The calculation of the amount of AstroPoints to be earned on the Users account will be made by multiplying:

• 3x (by three) on deposits with a minimum of 20 USD.
• 3x (by three) on payment link that is paid.
• 3x (by three) on debit card payment that is made.
