These Terms and Conditions ("Terms") govern your participation in the Member Get Member (“MGM”) Program (the "Program") offered by AstroPay Global IOM Limited("AstroPay," "we," "us," or "our"). By participating in the Program, you ("you," "your," "Referrer, "or "Invitee") agree to be bound by these Terms.

These Terms are supplemental to AstroPay’s General Terms and Conditions (the "General Terms"). In the event of any conflict between these Terms and the General Terms, these Terms will control with respect to the Program.

By participating in the Program, you acknowledge that you have read, understood, and agree to these Terms and the General Terms.

Any words starting with a capital letter and not defined in these Terms shall have the meaning ascribed in the General Terms.

1. Program Description
   The Program allows existing AstroPay Users("Referrers") to invite friends ("Invitees") to sign up fo rAstroPay’s services. If the Invitee fulfills the specified required actions, both the Referrer and the Invitee will receive a reward, the details of which will be specified in the AstroPay App (the "Reward").

2. Eligibility
   1. Referrer Eligibility: To be eligible to participate as a Referrer, you must be an active AstroPay User in good standing, complying with these Terms and the General Terms. AstroPay reserves the right to determine eligibility and disqualify any Referrer who engages in prohibited conduct, including, but not limited to, creating fraudulent accounts or spamming potential Invitees.‍
   2. Invitee Eligibility: To be eligible as an Invitee, you must be a prospect AstroPay customer who has never previously registered for AstroPay services. AstroPay reserves the right to verify eligibility and revoke eligibility if any fraudulent or misleading behavior is detected.

3. Program Mechanics and Required Actions
   1. Referral Invitation: The Referrer will get a unique referral link or a referral code in the AstroPay App and may share it with eligible Invitees.
   2. Invitee Sign Up and Purchases: The Invitee must Sign Up for AstroPay’s services using the Referrer's unique referral link and shall perform at least three (3) purchases above USD 2 each with its AstroPay Card.
   3. Reward Issuance: Once the Invitee has completed the Purchases, the Reward will be credited to the Referrer's and Invitee’s AstroPay Account.

4. Restrictions and Compliance
   1. Permitted Referrals: Referrers must only send referrals to friends they personally know and who have consented to receive such communications.
   2. Prohibited Conduct: Referrers agree not to engage in any fraudulent, misleading, or spam-like behavior, including, but not limited to, mass distribution of referral links, creating fake accounts, or self-referrals.
   3. Invitee Account Activity: Invitees must maintain their AstroPay account in good standing. Failure to do so may result in the forfeiture of the Reward.
   4. Non-Transferability: Rewards are non-transferable and cannot be exchanged for cash unless explicitly stated otherwise.
   5. Fraudulent Activity: AstroPay reserves the right to investigate any suspected fraudulent activity related to the Program. If, after a Reward has been paid, AstroPay determines that the Reward was earned through fraudulent activity, AstroPay reserves the right to debit the Reward amount from both the Referrer’s and Invitee’s AstroPay Accounts.

5. Reward Distribution and Tax Responsibility
   1. Reward Currency: Rewards are denominated in USD. If the Referrer or the Invitee do not have a USD wallet, the Reward will be credited to their default wallet at the prevailing exchange rate at the time of the Reward issuance.
   2. Reward Timing: Rewards will be distributed after all required actions are met.
   3. Tax Obligations: Any tax obligations arising from receiving a Reward are the sole responsibility of the recipient.

6. Program Changes and Termination
   AstroPay reserves the right to modify, suspend, or terminate the Program at any time, with or without prior notice, if we believe it is being misused or for any other business reasons. Notice of any changes or termination will be provided via email, in-app notification, or other reasonable means.

7. Governing Law and Dispute Resolution
   These Terms will be governed by the laws of Isle of Man. Any disputes arising under or in connection with this Program will be resolved in accordance with the dispute resolution provisions outlined in our General Terms.
